1. Agreement and acceptance
These Terms of Use (“Terms”) form a binding contract between you and Servixus Limited. They govern access to and use of the Servixus mobile application, website, admin tools and related services (together, the “Platform”).
By creating an account, completing verification, posting or quoting on a job, making or receiving a payment, or otherwise using the Platform, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
If you accept these Terms on behalf of a business, you represent that you have authority to bind that business. These Terms apply to households and small businesses that use the Platform as customers, and to tradespeople who use the Platform as artisans.
We may update these Terms from time to time. Material changes will be notified in-app, by SMS or email at least seven (7) days before they take effect, except where a change is required immediately by law or to address a security or fraud risk. Continued use after the effective date constitutes acceptance of the updated Terms. You may close your account if you do not agree.
2. Who we are and what the Platform is
Servixus is a digital marketplace that connects customers in Nigeria who need physical artisan services (including electrical, plumbing, carpentry, air-conditioning, painting and related trades) with independently verified artisans who can quote a fixed price and perform the work.
Servixus is an intermediary and technology provider. We do not ourselves perform the physical work. We do not employ artisans. We are not a party to the service contract that is formed between a customer and an artisan when a quote is accepted, except to the limited extent that these Terms create rights and duties among you, the other user and us (including payment handling, verification, reviews and dispute administration).
**Servixus is not a bank, microfinance bank, mobile money operator or licensed escrow agent. **Customer payments are collected and settled through Paystack (or another Central Bank of Nigeria–licensed payment partner we appoint). Funds are held by that payment partner under a delayed-settlement / hold-and-release arrangement until completion confirmation and expiry of the dispute window, as described in these Terms. Do not treat the Platform as a deposit-taking or independently licensed escrow service.
3. Eligibility and accounts
3.1 Age and capacity
You must be at least eighteen (18) years old and have legal capacity to contract under Nigerian law. The Platform is not directed at children. We do not knowingly collect personal data of persons under 18. If we discover that an account belongs to a minor, we will close it and delete or anonymise related data except where retention is required by law.
3.2 Account creation
You must register with a valid Nigerian mobile number and/or email address and complete one-time password (OTP) authentication. You are responsible for keeping your login credentials and device secure, and for all activity that occurs under your account. Notify us immediately at support@servixus.com if you suspect unauthorised access.
3.3 Roles
The Platform supports three roles: Customer, Artisan and Admin. Role-based access controls apply. You may hold both a Customer and an Artisan profile only if the product permits it; each profile remains subject to the rules of that role. You must not impersonate another person or operate multiple accounts to evade verification, sanctions, ratings or payout rules.
3.4 Accurate information
You must provide true, complete and current information and keep it updated. False identity, false credentials, or use of another person’s Bank Verification Number (BVN) or National Identification Number (NIN) without that person’s explicit consent is prohibited and may be reported to the Nigeria Police Force, the Economic and Financial Crimes Commission, NIMC, the Central Bank of Nigeria or other competent authorities.
4. Artisan onboarding, KYC and verification
To offer services as an Artisan you must complete identity verification. This typically includes:
- BVN verification through an approved provider;
- NIN verification through an approved provider and, where required, NIMC channels;
- upload of supporting documents (which may include a government-issued ID, proof of address, trade certificate or portfolio media); and
- admin review, which may result in approval, rejection or a request for more information.
BVN and NIN are identifiers linked to biometric records held by the CBN/NIBSS and NIMC. Under the Nigeria Data Protection Act 2023 (NDPA) and the National Identity Management Commission Act 2026, processing of another person’s NIN or BVN requires that person’s explicit, informed consent (or another lawful basis that actually applies). By submitting your own BVN/NIN you consent to verification for onboarding, fraud prevention, payout eligibility and trust-and-safety. You must not submit another person’s identifiers.
Verification badges, ratings, completed-job counts and other trust signals may be displayed on your public profile. Verification is a risk-reduction measure, not a warranty of skill, honesty, insurance cover or future performance. Admin decisions on KYC are logged for audit. We may suspend or revoke a badge if documents expire, if a match fails on re-check, or if you breach these Terms.
We may use licensed third-party KYC providers. Those providers process data as processors or independent controllers as described in the Privacy Policy.
5. Customer job requests
A Customer may create a job request stating category, location or saved address, description, preferred date/time, and media. You may upload multiple photographs and an optional video. Uploads must show progress, may be retried on failure, and are subject to size, duration and format limits published in the app.
You represent that you have the right to upload the media and that the media does not contain child sexual abuse material, non-consensual intimate imagery, or other unlawful content. Job requests may be routed to Artisans under admin-configurable matching rules (category, service area and similar filters). Routing is not a guarantee that a quote will be received within any particular time.
6. Quotes, work type and contract snapshot
Artisans submit fixed-price quotes with an itemised breakdown. Hourly billing is not the Platform model for MVP. Every quote must declare a Work Type:
- (a) Fix only (labour only);
- (b) Replacement required (parts plus labour); or
- (c) Inspection first (diagnosis fee).
If Replacement required is selected, the Artisan must include a parts list stating name, quantity, estimated cost or range, and who is responsible for procurement. Customers may compare quotes and accept one quote. Acceptance creates a job contract snapshot of the accepted price, breakdown, Work Type, parts list and other material terms then displayed.
Simple counter-offers may be supported. Once accepted, changes to scope, parts or price should be recorded on the Platform. A formal change-order / variation-payment workflow is planned post-MVP. Until that workflow is live, any material extra work or extra parts should be agreed in in-app chat and, where payment is involved, paid through the Platform. Off-platform extra payments are discouraged and are not covered by Platform payment protection.
Displayed prices must be in Nigerian Naira and must be clear before the Customer commits, consistent with the Federal Competition and Consumer Protection Act 2018 (FCCPA) and applicable FCCPC guidance on digital transactions.
7. Nature of the customer–artisan contract
When a Customer accepts a quote, a service contract is formed between that Customer and that Artisan on the terms of the snapshot, these Terms (as they apply to that job) and any lawful variation recorded on the Platform. Servixus is not the Artisan’s employer, partner or joint venturer. Artisans are independent contractors responsible for their own tools, transport, tax, pension, insurance (if any), apprentices and workmanship.
The Artisan must perform the work with reasonable care and skill, in a timely manner, and in a manner that a reasonable person is generally entitled to expect for that trade, consistent with section 130 of the FCCPA. The Customer must provide reasonably safe access, accurate information and payment through the Platform as required.
Nothing in these Terms requires either party to waive a statutory right that cannot be waived under the FCCPA or other mandatory Nigerian law. Terms that are unfair, unreasonable or unjust under the FCCPA are not enforceable.
8. Payments, delayed settlement and weekly payouts
8.1 How money moves
The Platform supports a deposit and a final payment collected via Paystack. Payment status is updated from Paystack webhooks processed idempotently. The platform fee, at the rate displayed to you before you accept a quote and recorded in your job contract, is deducted from amounts settled through the Platform on completed jobs. Commission is not charged on amounts that are fully refunded following a valid dispute outcome, except as the dispute decision expressly provides.
8.2 Hold and release (escrow-style flow)
Customer payments are held by the payment partner and are not eligible for Artisan payout until: (i) the job is confirmed complete under Section 9; and (ii) the dispute window has expired without an open dispute, or a dispute has been resolved with an outcome that releases funds. If a dispute is opened, payout eligibility for the affected amount is frozen until resolution.
This is a delayed-settlement arrangement operated through a licensed payment partner. Servixus does not take title to customer funds as a deposit-taking institution. Release is generally one-directional once paid out; clawback depends on Paystack, the receiving bank and applicable payment-scheme rules.
8.3 Weekly payouts
Eligible Artisan balances are aggregated and disbursed in payout batches on a fixed schedule (for example Fridays at 17:00 West Africa Time), subject to successful KYC, a valid Nigerian bank account in the Artisan’s verified name, payment-partner processing times and any legal hold. We may delay, split or refuse a payout where we reasonably suspect fraud, sanctions exposure, identity mismatch or a regulatory request.
8.4 Failed payments and chargebacks
If a payment is reversed, charged back or fails after a job has been accepted, the Customer remains responsible for the amount due unless a dispute decision or law provides otherwise. We may suspend accounts involved in excessive chargebacks.
8.5 Taxes
Quoted prices and payouts are treated as inclusive or exclusive of VAT and withholding as we specify in-app. Each party is responsible for its own tax filings. Servixus may deduct or report amounts required by the Federal Inland Revenue Service or other tax authorities.
9. Completion, confirmation and dispute window
Either the Customer or the Artisan may mark a job as completed. The other party must confirm or open a dispute within the applicable service-level period (configurable; default to be stated in-app). If neither confirmation nor a dispute is received in time, the system may auto-confirm. Completion and confirmation events, including who acted and when, are logged for audit.
Confirmation starts a dispute window whose length is shown in the app. During that window either party may open a dispute. After the window closes without a dispute, funds become eligible for the next payout batch, subject to Section 8.
Auto-confirm exists so that jobs do not stall. It does not prevent a party from contacting support promptly if they were unable to respond because of a genuine Platform or connectivity failure. Statutory consumer rights under the FCCPA are not extinguished solely because auto-confirm occurred.
10. Optional off-platform payment questionnaire
After a Customer confirms completion, the Platform may show an optional, skippable questionnaire asking whether any extra payment was made off the Platform and, if the Customer chooses, the reason and amount. Responses are used for leakage monitoring, product design and risk controls. They do not block completion. Providing false information to conceal fraud may be treated as a breach of these Terms.
11. Messaging, contact masking and anti-circumvention
Job-scoped in-app messaging is provided so that the parties can coordinate. Customer and Artisan contact details (phone number, exact address beyond the level needed for quoting, and similar identifiers) are restricted until a deposit is paid. This is a trust-and-safety and leakage-control measure.
Warranty-style Platform protection, payment holds, dispute administration and verified reviews apply only to amounts paid through the Platform. Users must not solicit or agree to move a job off the Platform in order to avoid commission, verification or payment protection. Repeat requests for off-platform payment may result in a warning, suspension, loss of verification badge or ban.
This clause does not prohibit ordinary human conversation after a deposit is paid, and it does not prevent a Customer from reporting poor work to the FCCPC or the police. It exists to keep payments, evidence and remedies on a channel we can actually administer.
12. Reviews and ratings
A Customer may rate and review an Artisan only after a paid, completed job. Reviews may include text and optional photographs. The Artisan may respond. Public profiles display an aggregated rating and review snippets.
Reviews must be honest and lawful. Fake reviews, review-for-payment, extortion (“remove this review or else”), hate speech and disclosure of another user’s private contact details are prohibited. We may hide or remove reviews that breach these Terms or that we are required to take down, and we may restore them if a takedown was in error.
13. Disputes between Customer and Artisan
13.1 Opening a dispute
Either party may open a dispute within the dispute window. The flow captures a reason, a description and evidence (photographs or video). Open disputes freeze payout eligibility for the affected items.
13.2 Admin resolution (MVP)
Servixus Admin may resolve a dispute by releasing payout to the Artisan, refunding the Customer, or a combination of those outcomes based on the snapshot, chat, media, payment records and submitted evidence. Request-rework is a planned post-MVP outcome and may be offered operationally where both parties agree.
Admin decisions are audit-logged. We will act in good faith and with reasonable care, but a marketplace determination is not an arbitration award under the Arbitration and Mediation Act 2023 unless the parties later agree in writing to formal arbitration.
13.3 What we cannot decide
We do not decide criminal liability, title to land, personal injury quantum, or professional-negligence damages beyond the job amount held. Serious incidents (assault, theft, threat, injury) should be reported to the Nigeria Police Force and, where relevant, your insurer. You must still notify us so we can freeze payouts and preserve logs.
13.4 Regulatory and court rights
These internal procedures do not replace your right to complain to the Federal Competition and Consumer Protection Commission (FCCPC), the Nigeria Data Protection Commission (NDPC), or a court of competent jurisdiction in Nigeria. We will not require you to waive those rights as a condition of using the Platform.
14. Acceptable use
You must not:
- use the Platform for any unlawful purpose, including fraud, money laundering, terrorism financing or handling proceeds of crime;
- upload malware, scrape the Platform without permission, probe APIs beyond documented use, or circumvent rate limits or access controls;
- harass, threaten, discriminate against or sexually exploit another user;
- post content that is defamatory, or that we are required to remove under the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended) or the NITDA Code of Practice for Interactive Computer Service Platforms / Internet Intermediaries;
- interfere with jobs you are not assigned to, manipulate ratings, or create fake demand;
- resell Platform access or use another user’s account; or
- misrepresent Work Type, parts costs or completion status.
Upon notice of unlawful content from a user or an authorised government agency, we will acknowledge and, where required, disable or remove the content within the period specified by applicable law or code (including the 48-hour takedown standard under the NITDA Code where it applies). We may disclose account information when compelled by a court order or lawful agency request.
15. Safety on site
Physical work is performed at the Customer’s premises or another agreed location. Servixus does not control that environment. Customers should not leave minors unsupervised with an Artisan. Artisans should decline work that is unsafe or outside their competence. Neither party should demand or offer sexual contact as part of a job. We may suspend accounts involved in safety incidents while we review evidence.
MVP does not include insurance integration. Any insurance an Artisan or Customer holds is their own. Do not assume that Platform verification equals insurance cover, bonding or a guarantee fund.
16. Intellectual property and user content
Servixus owns the Platform software, trademarks, logos and documentation. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the app for its intended purpose.
You retain ownership of content you upload (job media, portfolio, chat, reviews). You grant Servixus a worldwide, royalty-free licence to host, display, moderate and use that content to operate, improve and protect the Platform, including showing portfolio and reviews to other users. You warrant that your content does not infringe third-party rights.
17. Privacy
Processing of personal data is described in the Servixus Privacy Policy, which forms part of this agreement. That Policy explains lawful bases under the NDPA, KYC and payment processing, data-subject rights, retention, cross-border transfers and how to contact our Data Protection Officer.
18. Suspension, sanctions and account closure
We may warn, restrict features, suspend, remove a verification badge or ban an account where we reasonably believe you have breached these Terms, failed KYC, posed a fraud or safety risk, or where we are required to do so by law or a payment partner. We will give notice and a reason unless doing so would compromise an investigation or breach a legal duty.
You may close your account by contacting support. Closure does not cancel jobs already accepted, erase legally required records, or extinguish unpaid commission, refunds or dispute outcomes. After closure we retain data as described in the Privacy Policy.
19. Disclaimers
The Platform is provided on an “as available” basis. We do not warrant uninterrupted connectivity. The product is designed for intermittent mobile data, but 3G/4G coverage and device performance are outside our control.
We do not warrant that any Artisan is available in your area, will quote within fifteen minutes, or will complete work to a particular aesthetic standard beyond reasonable care and skill. Success metrics in internal product documents (time-to-first-quote, conversion, completion rate) are operational targets, not contractual service levels to users unless we publish a separate SLA.
Third-party services (Paystack, KYC providers, SMS and email gateways, object storage) have their own terms. Unavailability of a third party may delay quotes, payments or payouts.
20. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded under Nigerian law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or statutory rights that the FCCPA or NDPA do not allow us to exclude.
Subject to the previous paragraph, Servixus is not liable for: (a) the Artisan’s workmanship, parts quality or on-site conduct, except to the extent of refunding amounts we still control under a dispute decision; (b) off-platform payments; (c) loss of profit, goodwill or indirect loss; or (d) events beyond reasonable control (including widespread network failure, industrial action, or changes in CBN, NDPC or FCCPC rules).
Subject to the same reserved liabilities, our aggregate liability to you arising out of a particular job is limited to the greater of (i) the commission we actually earned on that job and (ii) ten thousand Naira (₦10,000), except where a refund of amounts still held is required by a dispute decision or by law. This cap is intended to reflect our role as an intermediary, not as the tradesperson.
21. Indemnity
You will indemnify and hold harmless Servixus, its officers and staff against claims, losses and reasonable legal costs arising from your breach of these Terms, your content, your on-site conduct, your misuse of another person’s BVN/NIN, or your violation of law, except to the extent caused by our wilful misconduct or negligence.
22. Electronic communications and records
You consent to receive transactional notices by in-app message, SMS and email (new quote, payment status, completion, dispute). Push notifications may be added post-launch. Electronic records, webhook logs and audit trails may be used as evidence in accordance with the Evidence Act 2011 (as amended) and the Cybercrimes Act.
23. Governing law and disputes with Servixus
These Terms are governed by the laws of the Federal Republic of Nigeria. You and Servixus will first attempt good-faith resolution through support@servixus.com. If unresolved after fifteen (15) business days, either party may:
- refer a consumer complaint to the FCCPC;
- refer a data-protection complaint to the NDPC; and/or
- commence proceedings in the courts of [Lagos State / the FCT / the State of our registered office — insert].
Nothing requires you to use arbitration as the exclusive forum in a way that prevents access to the courts or the FCCPC. If both parties later agree in writing to arbitrate a B2B dispute, that agreement will specify the seat (Nigeria), language (English) and appointing authority.
24. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement for Platform use and supersede prior proposals on the same subject. Job snapshots sit alongside these Terms for a particular job.
- Severability. If a provision is held invalid, the remainder continues in force. An unfair term under the FCCPA is unenforceable to that extent.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign your account. We may assign these Terms in connection with a reorganisation, merger or sale of assets, provided the assignee honours them.
- Third parties. Except for indemnified persons, no third party may enforce these Terms under Nigerian law except as statute provides.
- Language. The English version controls.
- Force majeure. A party is excused from performance (other than payment already due) while prevented by an event beyond reasonable control.
